These Terms and Conditions apply to agreements with ideia internet. Read them carefully before ordering or using a service.
Article 1. Definitions
- Company: ideia internet, registered with the Dutch Chamber of Commerce under number 37118084.
- Customer: any natural person or legal entity that has entered into, or intends to enter into, an agreement with the Company.
- Service: the specific service agreed with the Customer. Agreement: the agreement under which one or more services and/or goods are provided.
Article 2. Agreement
- These terms always apply unless expressly agreed otherwise in writing. Customer terms or deviations bind the Company only after express written acceptance.
- After acceptance, the Agreement can be changed only by mutual consent. It starts when the Company receives the Customer’s acceptance.
Article 3. Performance of the Service
- The Company performs the Service as soon as possible, with due care and professionalism, in accordance with the quotation or order. It may engage third parties where necessary; additional costs are for the Customer unless agreed otherwise.
- The Customer must timely provide everything reasonably needed. The Company may make necessary non-substantive changes to supplied material. Account actions are at the Customer’s risk; suspected misuse must be reported promptly.
- Delivery dates are indicative unless expressly stated as deadlines. Default requires written notice with a reasonable remedy period. The Company may suspend or limit services when the Customer breaches the Agreement or these terms.
Article 4. Prices
- Business prices exclude VAT and government levies; consumer-facing prices include them. Programming and typing errors may be corrected.
- For continuing services, rate changes are announced at least 30 days in advance. The Customer may terminate following a price increase with five days’ notice. Business prices may increase by 4% each 1 January without a termination right.
- Costs arising from the Agreement are borne by the Customer unless agreed otherwise.
Article 5. Hosting and related services
- Customers may not publish unlawful, infringing, threatening, discriminatory, abusive or privacy-violating material, child sexual abuse material, or references to such material through Company systems.
- The Company may investigate complaints, remove or block material, report potentially criminal information and provide relevant data to competent authorities. Repeated justified complaints may lead to termination. The Customer indemnifies the Company for resulting claims and damage.
- Customers must not hinder users or systems, must follow accepted internet conduct and must not share credentials without permission. Storage and traffic limits may apply and excess use may be charged.
- The Customer grants the Company the rights needed to store, copy, transmit and distribute supplied material solely to perform the Agreement. Damage caused by misuse or non-compliance is for the Customer.
Article 6. Domain registration
- Domain names and IP addresses are subject to registry rules and allocation decisions. The Company acts only as intermediary and does not guarantee allocation; only the registration confirmation email confirms registration.
- The Customer follows registry rules and indemnifies the Company for use of the domain. The Company is not liable for loss or third-party acquisition except in cases of intent or gross negligence.
- The Company cooperates with transfer or cancellation requests. During demonstrable default, after written notice and a reasonable remedy period, it may disable or hold the domain; after dissolution for non-performance it may cancel it.
Article 7. Availability
- The Company uses reasonable efforts to keep systems, networks and data accessible, but guarantees availability only in an expressly agreed SLA.
- Unless an additional SLA says otherwise, the Customer is responsible for backups. The Company aims to keep software current but may omit updates that would not benefit proper service delivery.
- The Company cannot guarantee third-party networks and may take reasonable protective measures against spam, insecure systems, malware and network attacks.
Article 8. Liability
- Liability for direct damage caused by an attributable breach is limited per event or related series to the annual fees under the Agreement, with a maximum of €1,000 excluding VAT.
- Liability for indirect or consequential damage, lost profit, missed savings, data loss and business interruption is excluded. Limits do not apply to intent or gross negligence by management where mandatory law so requires.
- Liability for breach arises only after a detailed written notice of default and expiry of a reasonable remedy period. Damage must be reported in writing within 30 days. The Company is not liable for force majeure; the Customer indemnifies it against relevant third-party claims.
Article 9. Maintenance and force majeure
- The Company may temporarily take systems offline or modify them for maintenance, improvement and error correction and will try to announce material interruptions or changes. Such work does not create a right to compensation.
- Force majeure includes internet or telecom failures, attacks, power outages, war, transport disruption, strikes, fire, flood, government restrictions and supplier failure. Performance is suspended and may be terminated after 90 days without compensation.
Article 10. Duration and cancellation
- Periodic services normally have a 12-month minimum term unless stated otherwise. Consumers may cancel at any time after tacit renewal, effective one month after receipt. Cancellation is possible through the same channel used to contract.
- After termination, accounts may be closed and stored data deleted or made inaccessible. The Customer must secure needed copies before the service ends.
- Consumers have the statutory 14-calendar-day withdrawal period where applicable. Exceptions, including fully performed services begun with prior consent and domain registrations made to specification, apply only as permitted by law.
- Material non-performance may allow termination without judicial intervention, without prejudice to claims for loss, profit and interest, subject to mandatory law.
Article 11. Payment
- Payment starts when the Agreement is concluded. Invoices are electronic and due within 14 days unless agreed otherwise. Recurring services may be invoiced in advance for the agreed period.
- After non-payment, the Customer receives notice and an additional payment period. Continued default may lead to suspension. Statutory collection costs and reasonable recovery costs may be charged; consumer charges remain subject to mandatory law.
- Invoice objections must be submitted within two weeks. Claims become immediately due in cases such as bankruptcy, suspension of payments, attachment, liquidation or dissolution, insofar as legally permitted.
Article 12. Intellectual property
- Intellectual property in materials, software, designs, documentation, advice and preparatory work remains with the Company or its licensors. The Customer receives only the use rights arising from the Agreement or granted in writing.
- Notices and technical protections may not be removed or circumvented. Unauthorised use may lead to a €2,000 immediately payable contractual penalty per infringement and a claim for actual damage, subject to any mandatory right of judicial moderation.
Article 13. Confidentiality
- Parties keep marked or reasonably recognisable confidential information secret and impose this duty on employees and engaged third parties.
- The Company accesses Customer data only where needed to perform the Agreement or required by law or court order, and limits access as far as reasonably possible.
Article 14. Changes to these terms
- The Company may amend these terms. Changes to existing agreements take effect 30 days after website or electronic notice; minor changes may take effect immediately.
- A Customer that does not accept a material change may terminate before it takes effect.
Article 15. Final provisions
- Dutch law applies. Unless mandatory law provides otherwise, disputes are submitted to the competent Dutch court in Amsterdam.
- Invalidity of one provision does not affect the remainder; parties replace it with a valid provision that best reflects its purpose.
- Writing includes email where identity and integrity are sufficiently established. Company records and monitoring are deemed correct unless the Customer proves otherwise.
